The original Company, Naga Hills Tea Co. Ltd. , a Public Limited Company was incorporated on 26th day of August,1918 under the Companies Act, 1913. The Company was acquired by Dhunseri Group and the name was changed to Naga Dhunseri Holding Group Ltd. on 17th day of September, 1990. The name of the Company was further changed to Naga Dhunseri Group Ltd. under a Fresh Certificate of Incorporation issued by the Registrar of Companies, West Bengal, Calcutta on 7.3.1995.

The Company acquired several companies from time to time and allotted 1,10,000 equity shares of Rs. 10/- each as fully paid for consideration other than cash pursuant to a Scheme of Amalgamation.The Company also issued 8,50,000 equity shares of Rs. 10/- each as fully paid up Bonus Shares by capitalization of reserves. Thus the original share capital of Rs. 4,00,000/- has been raised to the present issued subscribed and paid up capital of Rs. 1 Crore comprising of 10,00,000 equity shares of Rs. 10/- each as fully paid up.

The Late Shankar Lal Dhanuka, Founder of Dhunseri Group of Companies acquired the Company Naga Hills Tea Co. Ltd. in 1961. The nature of business of the Company has undergone changes from time to time resulting in transfer of the Tea Gardens to erstwhile Dhunseri Tea & Industries Limited and substantial amount of investments in real estate and shares and securities were built up by the Company over the last several decades.

MAIN OBJECTS OF THE COMPANY

  1. To carry on investment business and to purchase, acquire, hold and dispose of or otherwise invest in shares, debentures, bonds and securities issued or guaranteed by any government, public body or authority, municipal or local or otherwise whether in India or elsewhere.
  2. Subject to the provisions of the Companies Act,1956 and the directives issued by the Reserve Bank of India to act as investors, guarantors, underwriters and financiers with the object of financing Industrial Enterprises , to lend, advance, deposit and deal with monies and provide other financial facilities and services and credit with or without interest or security.
  3. To acquire by purchase, lease, mortgage, exchange, gift or otherwiseto hold, develop and maintain lands, buildings etc.

The Company is registered as a  Non-Banking Finance Company (NBFC) with  Reserve Bank of India.

Company shall not do any banking business as defined under the Banking Regulation Act,1949.
